How IMERGEA operates its website, advisory tools, MCP services, referrals, bookings and payments.

2. Data We Process
Most public content can be viewed without creating an account. Data is processed when it is submitted through a form or required for security and operation.
Contact and lead data
- Name, professional email, phone, company and role where requested.
- Consent status, language, referral source and internal reference identifiers.
- Non-confidential descriptions of an advisory need, financing route, transaction or referral.
Tool data
- Company characteristics, sector, geography, financial inputs and generated outputs for valuation, buyer-search, debt, pathway and related tools.
- Search criteria and generated buyer or investor results where the user requests such a service.
- The central lead journal stores a limited allowlist of lead fields in addition to tool-specific operational logs.
Technical data
- Timestamp, referring page and a one-way hash of an IP address for security, abuse prevention and operational logs.
- For Refer and Partner forms, a country code may be derived from CDN headers or, if unavailable, from the public IP through ipapi.co. The raw IP is not retained by those forms.
- Ordinary server logs may be maintained by the hosting provider.
3. Purposes & Legal Bases
- Requested service or pre-contractual steps: produce a tool result, assess a referral, prepare a booking or answer an inquiry.
- Consent: contact a user about the submitted request or potential collaboration where the form asks for consent.
- Legitimate interests: secure the website, prevent abuse, maintain limited logs, improve service quality and preserve evidence of requests.
- Contract and legal obligations: deliver paid advisory work, process payment records, maintain accounting evidence and comply with AML, sanctions, tax or legal duties.
IMERGEA does not sell personal data and does not use submitted information for third-party advertising.
4. Website Tools & Automated Outputs
Tools including Business Valuation, Find My Buyer, debt and pathway tools, M&A Pulse, market comparables and sector benchmarks provide indicative, data-driven outputs.
Valuation outputs may use market multiples, financial inputs and an indicative FCFF discounted-cash-flow approach. Enterprise Value and Equity Value are distinct and may be bridged using net debt or other relevant adjustments.
Outputs depend on user inputs, source availability, model assumptions and public or licensed datasets. They are not an audit, fairness opinion, formal valuation, financing commitment or guarantee that a transaction, investor or buyer exists or will respond.
Human paid review
A paid Human Valuation Review is an expert review of an indicative result. Unless expressly agreed in writing, it is not a statutory or court-ready valuation report.
5. IMERGEA MCP Services
The public IMERGEA Model Context Protocol service exposes read-only tools for valuation, transaction readiness, advisory-menu recommendations, partner qualification and deal-referral preparation.
- MCP partner, referral and advisory tools do not submit a form, create a booking, charge a payment method or upload a document.
- They return structured information and secure handoff links to imergea.com for review and explicit consent.
- Users should not place confidential documents, financial files, identity documents or third-party personal data into an LLM conversation.
- The MCP endpoint may process technical identifiers in hashed form for rate limiting and security.
The provider of the LLM or MCP client is a separate service provider with its own privacy terms. IMERGEA does not control data retained by that external provider.
6. Refer a Deal & Partner with IMERGEA
The current forms are available at refer/refer.html. Previous endpoints requesting identity documents, CV uploads or target-contact details have been retired.
Refer a Deal
- One short, non-confidential opportunity description.
- The referrer's own name, email and phone number.
- Explicit consent to assess and follow up on the referral.
Partner with IMERGEA
- Name, email, phone and LinkedIn profile URL.
- Desired mandate types and transaction workstreams.
- Explicit consent to assess potential collaboration.
No referral creates a mandate, entitlement, commission or contractual relationship. Any commercial arrangement must be confirmed separately in writing.
7. M&A & Strategic Advisory Booking
The booking page offers fixed-scope packages calculated at EUR 350 per consulting day. The final checkout displays the amount charged and any applicable tax:
- 1 day / EUR 350: Human Valuation Review.
- 3 days / EUR 1,050: Prioritised Investor Longlist.
- 5 days / EUR 1,750: Teaser + Information Memorandum.
- 10 days / EUR 3,500: Full Deal Preparation Pack, including valuation, Deal Card, teaser, IM and prioritised longlist.
The booking form does not accept attachments. Source materials must be provided later through a channel agreed with IMERGEA.
A consulting day is a unit of professional effort, not necessarily a calendar-day delivery promise. Work and delivery timing begin after IMERGEA confirms scope, availability and receipt of complete source materials.
Scope limits
Unless expressly agreed otherwise, packages exclude audit, accounting reconstruction, legal or tax advice, buyer outreach, verified investor interest, negotiation, due diligence management and closing support. Two consolidated review rounds apply to the 5-day document package.
8. Payments, Cancellation & IMRC
Stripe
Card payments are processed through Stripe Checkout. Stripe receives payment and network data under its own privacy terms. IMERGEA receives identifiers, status and booking metadata but does not receive or store the complete card number.
Cancellation and refunds
Subject to mandatory consumer law and any written engagement terms, delivered work and work already started are billable and non-refundable. Before work starts, IMERGEA will review reasonable cancellation or rescheduling requests according to the circumstances and committed resources.
IMRC service credits
IMRC represents optional prepaid consulting service credits on the Base network. It is not equity, a security, an investment product or a governance right. Blockchain transactions are normally irreversible. Use may be refused for compliance, sanctions, jurisdictional or operational reasons. See the IMRC Litepaper.
9. Retention, Security & Recipients
Retention
- Lead and tool-submission data is generally retained for up to 36 months where needed for service delivery, follow-up, security and audit.
- Data connected to an active engagement may be kept for the engagement and applicable legal limitation periods.
- Invoices, payment and accounting records are retained for legally required periods.
- Data may be deleted earlier when no longer needed or following a valid request, unless retention is legally required.
Recipients and processors
Access is limited to IMERGEA and service providers needed to host the website, deliver email, process payments, provide infrastructure or perform an explicitly requested service. Relevant providers may include Bluehost or related hosting infrastructure, Stripe, CDN providers, ipapi.co and the user's chosen LLM platform.
Some providers may process data outside the European Economic Area under their own contractual safeguards. No internet service is risk-free; IMERGEA applies reasonable access controls, restricted logs and data minimisation but cannot guarantee absolute security.
11. GDPR Rights
Where the GDPR applies, users may request access, correction, deletion, restriction, portability or objection, and may withdraw consent without affecting earlier lawful processing.
Send requests to info@imergea.com with enough information to identify the relevant submission. IMERGEA may request proportionate verification before acting on a request.
Users may also lodge a complaint with the French data-protection authority, the CNIL, or another competent supervisory authority.
12. Disclaimer, Compliance & Governing Law
Website tools, data, MCP outputs and public materials are informational and may contain errors, omissions, delays or unavailable sources. Users must perform independent verification and obtain appropriate professional advice.
No website output, longlist, teaser, Information Memorandum or other preliminary material is an offer, solicitation, financing commitment or guarantee of a transaction. IMERGEA is not liable for decisions made solely from public tool outputs to the fullest extent permitted by law.
IMERGEA may refuse or stop service where identity, beneficial ownership, source of funds, sanctions, AML, conflicts, legality or professional ethics cannot be satisfactorily addressed.
These website terms are governed by French law, subject to mandatory rules applicable to the user. The policy may be updated when services or legal requirements change; the date at the top identifies the current version.
